CONTRACT FOR THE SALE OF 100-WATT POWER TOKENS ON A PHOTOVOLTAIC SYSTEM

Between:

  1. Heiwit S.p.A., with registered office in via Carlo Robbioni 2, CF/P.IVA 03980400125 (hereinafter referred to as “Seller”);

  1. [Name of Purchaser]., residing at [Address], CF [Number] (hereinafter referred to as “Purchaser”).

WHEREAS:

  • The Vendor is the owner of a photovoltaic plant located in [Country] with a unique internal code [CODE], with a total capacity of [POWER] kWp.
  • The Buyer is interested in purchasing a token representative of 100 watts of the capacity of the photovoltaic system.

The following is agreed and stipulated:

Article 1: Object of the Contract

The Seller agrees to sell and the Buyer agrees to purchase a token representative of 100 watts of the capacity of the photovoltaic system. The token is a service to operate the photovoltaic system on behalf of the Buyer.

Article 2: Sale Price

The selling price of the 100-watt token is set at [PRICE] Euro VAT INCLUDED, to be paid in the manner set out in Article 3 below.

Article 3: Modalities of Payment

The Buyer undertakes to pay the sales price by bank transfer to the bank account indicated by the Seller within 7 days after signing this contract.

Article 4: Buyer's Rights

  1. The Buyer has the right to receive a pro rata share of the energy produced and received from the photovoltaic system throughout the useful life of the system.
  2. The Buyer is entitled to receive an annual report on the energy produced by the plant and its share.
  3. The Buyer has the right to transfer the token to a third party upon written notice to the Seller.
  4. The purchaser is entitled to be remunerated each time the energy produced, net of excise duty, is collected, minus the following recurring costs: surface right, insurance insurance, administrative charges, any expenses for extraordinary interventions.

Article 5: Seller's Obligations

  1. The Vendor undertakes to keep the photovoltaic system in good working order and to carry out the necessary maintenance.
  2. The Seller undertakes to provide the Buyer with a detailed annual report on the energy produced and the Buyer's share of it.
  3. The Seller undertakes to inform the Buyer in a timely manner in the event of breakdowns or significant interruptions in the production of energy.
  4. The Seller undertakes to remunerate the Buyer each time the energy produced is collected, net of excise duties and subtracting the specified recurring costs.

Article 6: Duration of the Contract

This contract has a duration equal to the useful life of the photovoltaic system, estimated at 30 years, starting from the date of signing the contract.

Article 7: Plant Purchase Option

After the fifth year, the energy-harvesting company may purchase the plant. In this case, the token ceases and the purchaser is remunerated with an amount proportional to the remaining life of the plant, as per attached table, maintaining everything that has been produced and perceived up to that point.

Article 8: Termination of Contract

This contract may be terminated in the event of default by either party, subject to written notice and the granting of a period of 90 days to rectify the default.

Article 9: Applicable Law and Jurisdiction

This contract shall be governed by Italian law. For any dispute arising from the interpretation or execution of this contract, the Court of Varese shall have jurisdiction.

Article 10: Final Provisions

  1. Any amendment or supplement to this contract must be made in writing and signed by both parties.
